  1. Service Commitment: VRSEN provides AI solutions with a focus on a single project per client at a time. They develop new AI-driven solutions and integrate with existing systems but do not modify or enhance existing codebases.
  2. Professional Services: Clients receive AI development, user interface design, and AI deployment. VRSEN manages staffing and execution while requiring client cooperation for necessary resources.
  3. Subscriptions: Services operate on a monthly subscription basis with automatic renewals. Clients may cancel via their account management page or by contacting their project manager.
  4. Payments: Clients must provide valid billing details and authorize VRSEN for charges. If automatic billing fails, manual payment is required as per invoice instructions.
  5. Refunds: Clients may cancel within seven days of the agreement, with a 75% refund provided at VRSEN’s discretion. The remaining 25% is retained as a service fee.
  6. Data Protection: VRSEN ensures the security, confidentiality, and integrity of customer data, protecting against unauthorized access or disclosure.
  7. Confidentiality: Both parties must maintain strict confidentiality regarding proprietary and sensitive information shared during the engagement.
  8. Ownership and Intellectual Property: Clients own all deliverables and work products developed during the service. VRSEN grants an exclusive license for VRSEN’s pre-existing materials used in the project.
  9. Collaboration: To maintain project integrity, VRSEN does not collaborate with external teams or third-party developers on the same codebase during the subscription. External contributions can only occur after project transfer post-subscription.
  10. 30 Days Post-Subscription Support: VRSEN provides 30 days of post-subscription support via a dedicated Slack channel for troubleshooting AI solution issues, excluding third-party changes or client modifications.
  11. Dispute Resolution: Disputes should be resolved amicably. If unresolved, arbitration is conducted in Dubai under DIAC rules. If arbitration fails, Wyoming courts have jurisdiction.
  12. Limitation of Liability: VRSEN’s liability is limited to the total fees paid under the agreement, except in cases of bodily injury or property damage due to gross negligence.
